Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Zenith Intelligence Technologies Inc. ("PaidSeal", "we", "us") governing your access to and use of the PaidSeal invoicing, estimating, payments and reconciliation service, the mobile apps, and the website at paidseal.com (together, the "Service"). By creating an account or using the Service you accept these Terms; if you do not agree, do not use the Service.

2. Your account

You must provide accurate registration details and keep your credentials secure. You are responsible for all activity under your account, including that of your team members. You must be at least 18 and able to form a binding contract. One person or legal entity per account unless a plan expressly allows additional seats.

3. Plans, billing & taxes

Paid plans are billed in advance on the interval you select (monthly or yearly) and renew automatically until cancelled. Fees are stated exclusive of taxes; you are responsible for applicable taxes. We may change prices with notice effective at your next renewal. Failure to pay may result in suspension after the grace period.

The free plan is offered as-is and may change. Paid-plan features and limits are described in-app and may be adjusted with reasonable notice.

4. Your content and customers

You retain all rights to the data you and your clients put into the Service ("Your Content") — invoices, estimates, client records, items, expenses, logos and documents. You grant us a limited licence to host, process and transmit Your Content solely to operate the Service (including sending documents and payment links you initiate). You are responsible for the accuracy and legality of Your Content and for having the rights to it.

5. Payments to you

Where you collect money through the Service, funds are processed by third-party payment providers (e.g. Stripe, PayPal) under their own agreements, and settle to the account you connect — not to PaidSeal. We are not a bank, money transmitter, or party to the transaction between you and your customer. Third-party payment claims are treated as claims pending verification, not confirmed receipts, until reconciled.

6. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated by reference. You must not use the Service to defraud, to send unlawful or deceptive invoices, to launder funds, to infringe others’ rights, or to breach applicable law.

7. Availability & changes

We work to keep the Service available and may update, add, or remove features. We may perform maintenance and will aim to minimise disruption. Beta or clearly-labelled features are provided as-is and may change or be withdrawn.

8. Suspension & termination

You may stop using the Service and export your data at any time. We may suspend or terminate access for breach of these Terms, non-payment, or to comply with law or protect the Service and its users. On termination of a paid plan you retain access until the end of the paid period, then move to the free plan; you can export or delete your data.

9. Warranties & disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. PaidSeal is a tool and does not provide legal, tax, or accounting advice; you are responsible for your compliance.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenue. Our total liability arising out of or relating to the Service is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

11. Indemnity

You will defend and indemnify PaidSeal against third-party claims arising from Your Content, your use of the Service in breach of these Terms, or your violation of law or third-party rights.

12. Governing law & disputes

These Terms are governed by the laws of the jurisdiction of Zenith Intelligence Technologies Inc.’s principal place of business, excluding conflict-of-laws rules. The parties will first try to resolve disputes informally by contacting [email protected].

13. Changes to these Terms

We may update these Terms; material changes will be notified in-app or by email. Continued use after changes take effect constitutes acceptance.
